Summary/Abstract: Both the judicial practice and predominantly the legal doctrine maintain that a legal person cannot bear liability under art. 45, par. 1 of the Obligations and Contracts Act – for its own illegal culpable damaging behaviour. It is accepted that the liability of a legal person may be engaged only as a principal or as an owner. The current study questions this view and gives counterarguments which aim at giving rise to a discussion and encouraging the critical legal thinking of its readers.
