Summary/Abstract: Purpose – Purpose of the publication is to present the methodological aspects of the use of the category of fair value for the valuation of the company equity rights in Poland. Against the background of institutional and legal solutions developed and used in the US, the paper includes the evaluation of the conditions and possibilities of application this kind of standardized values in Poland. Considerations are focused on non-listed companies and for purposes of valuation associated with a strong conflict situation between the parties of the transaction concluded under forced conditions. Hypothesis: the concept of fair value was implemented to Poland in 2011 through valuation standards and transferred from theory and of highly developed English-speaking countries and its application requires consideration of national laws and adapt to the current economic situation, including the status of development of the OTC market trading property rights of companies. Design/methodology/approach – Studying relevant domestic and foreign literature and conducting independent research on the practical application of fair value categories and the lack of its use cases for legitimate purposes of valuation. Findings – The establishment of the institutional-legal and economic conditions that should be met to ensure the correct application of fair value category in business valuation. Originality/value – Verification of the hypothesis on the basis of domestic and foreign literature and research results for case studies which focus on small and medium-sized private enterprises.
