Summary/Abstract: The paper concerns with corporate governance in public higher education organizations in Poland. Thepaper approach is based on the new institutional economics. The special features of academic products(i.e. education and scientific research) suggest that potential market failures exist that handicappedmarket as governance mechanism in supplying such services. Those market failures suggest that thebetter than market is the hierarchical mode of control, namely university. Important issue is governanceof such organization. The model which dominated in Polish universities could be described asself-governance of academic oligarchy. This model is under strong criticism. However, the problemsof separation of ownership and control and the problem of metering of academic performance andresulting agency costs suggest that this model could have some advantages over the proposed alternativemodels. The main assumption of those proposed models is stronger centralization and moredirect control experienced by government or government and stakeholders (i.e. business and localadministration). Those concerns show that further studies are desired. Such studies should allow toaccurately assess the justification of proposed reforms of academic governance.
