Summary/Abstract: The report examines the question whether the negative precondition under аrt. 129, para. 1, sent. 2, prop. 2 of the Commercial Act for lack of unpaid due wages, benefits and compulsory social security contributions of employees is applicable to the transfer of company shares between shareholders in LLC. The contradictory case law on the issue, which gave rise to an interpretative case № 1/2020 of the Supreme Court of Cassation, is also analyzed.
