Tort liability of persons who participate in the incorporation of a company to this company in Polish legal order

Summary/Abstract: This paper deals with the Polish legal regulation of tort liability to a company of persons who participate in the incorporation of this company. The main subject refers to the conditions of a liability arising of these persons in the civil law and also pursuing claims which are provided by provisions of the Polish Commercial Companies Code. This article briefly explicates objective and subjective nature of this liability that may arise at the moment of incorporation of the company. This paper discusses also the most important judicial decisions of Polish courts, which concern issues of tort liability at the incorporation stage of the company.
