Summary/Abstract: Section 52 (1) of the Business Corporations Act (2012) sets out the consequences of breaching the prohibition of usurpation of corporate opportunities by corporate directors. Corporate opportunities doctrine was not explicitly governed by applicable law before 2014 and there are not many secondary sources dealing with this concept. This article provides the perspectives that American courts have developed over the years towards usurpation of corporate opportunities.
