Summary/Abstract: The aim of the article is the presentation of the phenomena referred to as spillover effect of European Union law on Member State law. The starting point will be the presentation of the institution of Pro-European interpretation of national company law. Subsequently, there will be presented the causes of the spillover effect of European Union law. Both issues will be discussed with the reference to the European Court of Justice rulings concerning commercial law as well as to examples from Polish commercial law, to which Pro-European interpretation applies and where spillover effect occurred. The final part of the presentation will focus on guidelines concerning Pro-European interpretation and handling spillover effect.
