Summary/Abstract: The article presents Polish corporate governance through the prism of interlocking directorates. Referring to neo-institutional categories, such as transaction costs and informal institution, the article addresses the problem of possible changes in the shape of Polish corporate governance, in particular the issue of negative consequences for the quality of this governance due to not recognising the influence of interlocking directorates in large companies. The empirical part of the paper is based on the results of research conducted in five economic sectors. The research included an analysis of data from the National Court Register and in-depth interviews with people related to the boards of large companies.
