Summary/Abstract: Corporate governance represents a major topic in the field of economics. On the basis of literature written on this topic so far, this article presents the main characteristics of corporate governance in Europe and in the US. It then proceeds to present the problems that emerge as an effect of concentrated ownership, and draws on the Parmalat scandal as an illustrative case in point. Without claiming to be exhaustive, the paper finally emphasises the changes that are needed and that have been undertook in order to meet the challenges of European firms’ corporate governance.
