Summary/Abstract: The subject is the decision of the Supreme Court of December 17, 2024, concerning the protection of personal rights of a member of the board of directors of a capital company. The gloss presents a partly critical approach. The purpose of the study is to analyze an atypical corporate situation in which no decision has been made regarding the discharge of a member of the board of directors in the context of a potential violation of his personal rights as a professional manager. In the conclusions, in addition to commenting on the Supreme Court’s decision, de lege ferenda postulates are presented.
