Summary/Abstract: On March 18, 2026, the European Commission adopted and published its package of proposals on the so-called “EU Inc.”, comprising three elements intended to serve as the foundation and starting point for the 28th company law regime. The core of the proposal package is the proposal for a regulation on EU Inc. (COM(2026)321). It is no exaggeration to say that the proposal package can be regarded as a milestone in European integration – at least in the context of private law – as, if adopted, it would fundamentally transform the European company law landscape at the beginning of the 21st century. In this respect, its significance far exceeds that of the previous legislative achievements in European Union corporate law. The central element of the proposal package is a new corporate law instrument that is fully harmonised at the EU level. Although optional, reflecting the principle of freedom of establishment, it does not constitute a distinct corporate form in the traditional legal doctrinal sense. Rather, it introduces the concept of EU Inc., as a uniform legal framework that would appear and operate with identical content across the legal systems of all Member States, thereby eliminating Member State particularism and legal fragmentation. This study outlines the elements of the proposal package and situates them within the history of corporate law integration.
