Summary/Abstract: The period from April to July 2026 was unusually dense for European commercial law. The Court of Justice of the European Union delivered a series of rulings with direct relevance for corporate, contractual, and fiscal‑commercial practice — from defining exclusive jurisdiction in cross‑border corporate disputes to the VAT treatment of transfer‑pricing adjustments. Meanwhile, on the legislative front, the European Commission launched the proposal for the “EU Inc.” regulation, the cornerstone of the 28th company law regime, as well as a broad tax‑simplification package. Domestically, the first half of 2026 is marked by the implementation of the new rules on the share capital of limited liability companies introduced by Law No. 239/2025 and by the approaching compliance deadlines. This bulletin synthesizes these developments, with an emphasis on their practical consequences.
