Summary/Abstract: This article examines the issue of the inclusion in the value added tax (VAT) tax base of amounts received as contractual damages, such as earnest money and penalty clauses. The analysis focuses on the essential distinction between purely compensatory payments, which are outside the scope of VAT, and those which in fact constitute the taxable consideration for a supply of services. According to the established case law of the Court of Justice of the European Union (CJEU), the tax classification depends on the existence of an economic reality and a direct link between the amount collected and an identifiable service provided to the beneficiary, the legal terminology used in domestic law („penalty” or „compensation”) being irrelevant. The article contrasts fundamental cases such as Société thermale d’Eugénie-les-Bains, in which the deposit retained for a hotel reservation that was not honored was considered non-taxable, as there was no actual service consumed, and subsequent cases such as Air France-KLM (unused airline tickets), MEO and Vodafone Portugal (early termination fees), in which the Court ruled that the amounts constituted taxable remuneration. The central reasoning is that the payment, even if it occurs in the context of a cancellation, constitutes the consideration for the contractual right offered to the customer (the right to travel or to benefit from subsidized services), thus guaranteeing the provider the minimum contractual income agreed as part of the overall price of the service.
