The possibility of acquiring the qualities of shareholder/sole shareholder, administrator and employee in a limited liability company and a sole shareholder limited liability company

Summary/Abstract: A problem encountered in jurisprudence and doctrine regarding the limited liability company concerns the possibility of simultaneously exercising the qualities of shareholder/sole shareholder, administrator and employee of the company. For financial or trust reasons, this legal provision has found practical application; the topic has also been addressed quite often in specialized works. The present study aims to analyze the limited liability company from this perspective, taking into account the successive amendments to Law no. 31/1990 and the provisions of Law no. 265/2022 of the Trade Register.
