Summary/Abstract: May an administrator or a director of a company conclude an individual employment contract, or is it mandatory to enter into a mandate agreement? While the answer to this question seems relatively clear under the legislation applicable to joint-stock companies, the legal framework remains less explicit in the case of limited liability companies. The study aims to provide an answer to these questions and to present the prevailing doctrinal views developed over time to outline a coherent direction for corporate governance.
