Summary/Abstract: The national legal regulation on the transfer of the seat of a Bulgarian company with a registered capital into another member state as well as on the transfer of the seat of a company of another member state into our country, which transpose the norms of Directive (EU) 2019/2121 of the European Parliament and of the Council of 27 November 2019 amending Directive (EU) 2017/1132 as regards cross-border conversions, mergers and divisions, is analyzed in this article. The field of application, the elements of the juristic act and the legal consequences of the institute, as well as the rules on the protection of the members, the creditors and the employees are successively considered.
