Application of insurance in international M&A transactions

Summary/Abstract: Mergers & acquisitions (M&A) of companies has been a well-known and widelypractised concept since the mid-19th century. The purpose of the transaction is to consolidatethe market and, at the same time, reduce competition. The implementation of a mergertransaction and its expected results are subject to the risk of failure, due to the complexity andmulti-stage nature of the process. The aim of this article is to explain how taking out Warranties& Indemnity insurance in relation to M&A transactions can reduce the risk for each of theparties to the transaction, using the example of banking sector entities (Oversea-ChineseBanking Corp Ltd and Internationale Nederlanden Groep).
