Considerations on the Legal Form of the Cross-Border Transformation of Joint-Stock Companies, Partnership Limited by Shares and Limited Liability Companies, in the Regulation of the Companies Law no. 31/1990, with Subsequent Amendments and Additions

Summary/Abstract: By the research conducted, as a result of which this study/article was written, I aimed to identify and evaluate, in a relatively analytical manner, the nature and specifics of the legal form of the cross-border transformation of certain types of trade companies, as such type of reorganization of legal entities is regulated by the European law, and in particular, by Directive no. 2121 of November 27, 2019 amending Directive (EU) 2017/1 132 regarding transformations, mergers and crossborder divisions, and how it was implemented in the Romanian domestic law, by means of the Law no. 222/2023 for the amendment and addition of the Companies’ Law no. 31/1990, as well as of the Law no. 265/2022 on the trade register and for the addition to other normative acts with effect on the entries operated in the trade register.
