DETERMINING THE PRICE IN THE CONTRACT OF SALE

Summary/Abstract: According to the majority of legislations the price is an essential element of the sale. According to some codes the price should be determined specifically. More modern codes allow - as sufficient - the existance of elements in the contract according to which the price can be determined. When contracting parties determine a third person to fix the price, such person should make his evelation in a professional and imartial way. Comparative law shows that there is a tendency in new legislations of widening the cases of "determinability" of price onto some other situations - when there are no expressly given elements in the contract necessary for determining the price. In our positive legal system the price in the contracts of sale in the sphere of economy may be determined as the fixed one and changeable. The clause providing the latter kind of price may be composed without a formula or with a formula. The changeable price clause is a kind of the rebus sic stantibus clause. The answer to the question of elements of the price of goods is found in the contract clauses relevant to the matter or in usages of trade. If this is not specified, in all legal systems it is considered that the price refers to the net weight of the goods. In many countries some amounts are deducted from the fixed price if payment was effected on time or before time. In our economic law the price refers to net weight without reduction for timely payment - unless otherwise provided in the contract. The price incudes delivery expenses, unless otherwise provided by contract.
