Summary/Abstract: The Bulgarian Commercial Law allows legal persons to be appointed in the collective governing and controlling bodies of a joint-stock company, requiring the legal person to appoint its representative in the respective board. The Commercial Law however does not provide for an explicit answer whether the joint-stock company could trigger the liability of the representative and in which circumstances it could do so.
