When Does the Procurist Acquire Their Representative Power?

Summary/Abstract: The article analyses the various concepts in legal theory, determining the moment when the procurist acquires representative power vis-а-vis third parties, and the concepts on the legal effect of the procurist’s registration with the commercial register. The author argues that the registration of the procurist with the commercial register has a constitutive effect and the procurist acquires representative power vis-а-vis third parties as of his or her registration with the commercial register. The authorisation of the procurist is effective in the internal relations between the merchant and the procurist as of receipt of the power of attorney granted to the procurist. The agreement under Art. 23 of the Commercial Act regulates the rights and obligations of the merchant and the procurist in relation to the function of the procurist but does not relate to the acquisition of his or her representative power.
