Summary/Abstract: The right to vote is one of the most important corporate rights associated with owning shares in a company. By exercising their voting rights shareholders have the opportunity to impact the operations of the company. Upon the implementation of Directive 2007/36/EC voting may be carried out also by proxy or by means of electronic communication. The changes in the exercise of voting rights introduced in recent years to the French Commercial Code may serve Polish legislators as an interesting indication of future developments. Even more so due to the fact that the Polish legal system has often taken inspiration from French solutions, particularly in the capital market domain.
