The legal regime of the decision’s annulment of the general meeting of the associates in commercial companies

Summary/Abstract: At present, the legal provisions regarding the nullity or annulment of the decision of the general meeting of the associates are in the Civil Code (Art. 216-218) and, obviously, in Law no. 31/1990, republished with the subsequent amendments and completions. By comparing the provisions of the Civil Code with those of Law no. 31/1990, republished, with the subsequent amendments and completions , we observe that the idea is the same, namely the binding of the general meeting, the shareholders or the shareholders, in applying the “pacta sunt servanda” principle.
