Summary/Abstract: Purpose –The aim of the article is to present the conditions of the public offering of shares resulting from the principles of corporate governance and to verify the hypothesis of the differences in public offerings based on the corporate governance model adopted on a given capital market. Design/methodology/approach – Analysis of the literature, which allowed to formulate the hypothesis, has been completed by analysis of the structure of the public offers, which took place in Poland and across Europe in 2006–2016. Findings – The comparison of the structure of public offerings within the closed and mixed corporate governance system allowed to determine the significant differences in terms of both the status of the companies carrying the offers and the allocation of funds raised from investors. Originality/value – The article provides further evidence of the influence of the corporate governance model on business decisions, in this case on raising capital from the financial market.
