Some Aspects Regarding the Registration in the Trade Register of Companies and their Branches Provided by Law no. 31 of 1990

Summary/Abstract: The increasing mobility of entities that carry out economic activity was a constant feature of recent years. With this background, the present study sets out to highlight the holders and the content of the obligation to register in the trade register of both companies and their subsidiaries. The study also elaborates on the procedure of registration in the trade register of both companies and their subsidiaries. The research includes the procedure to be followed for the registration in the trade register of the branch of a company based in Romania, of the foreign branch of a company based in Romania and the branch of a company headquartered abroad, established in Romania. In the area of praxis the study will be applicable for those who intend to constitute a company, respectively to establish a branch thereof, as an investment vehicle.
