Summary/Abstract: The procedure of challenging resolutions of the supervisory board of a joint stock company is the subject of more frequent court decisions in Poland. Due to practical and functional reasons it is recommended that evidence challenging the resolutions of the Supervisory Board and the effects of eliminating them from the legal system should be shaped clearly by the legislator. Nevertheless, the practice and the theoretical analysis of a problem raise significant doubts as to how the right to challenge resolutions of a supervisory board in a joint stock company should be exercised. Consequently, the authors criticize the lack of norms which should regulate the problem discussed herein.
