Summary/Abstract: Bonds with non-cash benefits could be issued in Poland (for example convertible bonds into shares). The price of these bonds is connected with three parameters: investment value, conversion value and conversion option. At the same time the investment value corresponds to the issuer financial liabilities, while the other two parameters should be reflected in the equity capital. Bonds convertible into shares are submitted financial instruments. The balance sheet valuation of convertible bonds into shares should be primarily at amortized cost. The valuation differences are accounted for as a result. The purpose of this article is to present the problems in law, finance and bookkeeping convertible bonds area. This aim determined the choice of the research methods such as: critical review of literature and provisions of law and an analogical reasoning.
