Summary/Abstract: In this study, the author describes the phenomenon of establishing the registered office by the companies considering also the influence of the extraneity elements. The structure and the body of the study reveal the comments on the right of establishment of legal entities, on the nationality and registered office of the company, on the powers and restrictions of the right of the freedom of establishment of companies and on the European legal and case-law framework regarding the right of establishment of legal entities. Finally, the author puts forward brief considerations regarding the European case law in the matter of the right of establishment of companies.
