Options on share-related rights in the processes of private equity investments

Summary/Abstract: The article concerns the usage of options (call, put, drag along, tag along) while setting conditions of nonpublic investment in a limited liability company and joint stock company. The paper describes legal institutions which can be used to construct an option (an offer, a preliminary agreement) as well as legal instruments which can be used in order to secure a possibility of effective exercise of an option.
