Branch commercial proxy

Summary/Abstract: The article discusses the institution of branch commercial proxy. The considerations are conducted mainly on the basis of current regulation incorporated in the Article 109 of the Civil Code. In addition to that, both past and future legal regulations are taken into account. In accordance with the regulation of the Article 109 of the Civil Code, a commercial proxy may be limited to matters entered in the register of the enterprise’s branch (branch commercial proxy). This legal definition of branch commercial proxy raises a number of controversies, which will be thoroughly discussed in the paper. Additionally, it is to be stated that the definition formulated by the legislature does not allow for the use of this useful institution in business practice. Therefore, in the paper there are presented (de lege ferenda) some proposals of necessary legislative actions as well as the suggested definition of branch commercial proxy.
