Summary/Abstract: The occurrence of manipulation on the market price of shares and derivates is the negative effect on the global capital markets. It is caused by the delivery of unreliable information to investors and causes the destruction of competition. The results of stock manipulations reduce investors confidence to capital markets and are harmful for companies, because they limit the quantity of financial means directed to investments. It is necessary to create the form of legal rules guaranteeing transparency and respect of all investors businesses to make capital market functioning in the effective way. Corporate governance in the present world economy is a result of great bankruptcies of gigantic corporations, such as Enron Corporation, WorldCom, Parmalat or Xerox. Corporate governance contributes to constructing the stability of the market of stocks and derivates, because higher level of skills of management in companies contributes to enlarging investors interest in long-terming investing.
