NEW ASPECTS REGARDING THE CONCLUSION OF THE COMPANY CONTRACT

Summary/Abstract: Owing to the change of the Civil code in 2009, more corrections resulted regarding the company contract, too. Thus, the company contract is regulated by The Civil code in 2009 as a framework law, and the civil society turned into a variety of the company in general, together with the trading society. This is the first aspect I intend to analyze in the present study, as well as other correlative changings. I also intend to discuss the changings made by the new regulation concerning the form of the agreement when concluding a company contract, as well as the legal personality acquisition by a company, according to the type of the company under consideration because, a civil society, for instance, although not having a legal personality, can be transformed and obtain its legal personality later on in case it respects the regulations of the Civil code or of the special laws which regulate the type of company it intends to transform into. I also intend to emphasize the influence of the changings inside the family law upon the company contract. Thus, because the Family code has become part of the Civil code, serious changings appeared regarding the matrimonial regime. Along with the classical jointly property matrimonial regime, two other regimes appeared, fact which generated changings concerning the capacity of concluding a company contract between spouses.
