Summary/Abstract: Regulatory requirements governing the issuance of debt securities are designed to enhance transparency, investor confidence, and the orderly functioning of the capital market. The mitigation of information asymmetry between issuers and investors serves as a means to achieve the broader objective of safeguarding market integrity and efficiency as a mechanism for capital allocation. However, the regulatory framework of capital markets does not guarantee that the specific contractual terms governing the subscription or acquisition of bonds will be clear, non-surprising, or substantively balanced. To achieve the stated values, it is necessary to resort to the instruments of private (contract) law. In this context, the application of general and consumer-specific contract law provisions aimed at ensuring transparency and fairness of contractual content proves to be of practical relevance, particularly in the light of the growing importance of online platforms facilitating retail access to bond offerings by the general public.
