Summary/Abstract: The criminal clause being an ancillary convention, in order to become binding has to meet the validity conditions of any convention, in which the parties’ agreement is recorded, as well. In the court’s opinion, the references made in the tax invoices submitted in evidence shall not prove the agreement of the parties regarding the provision of a criminal clause in compliance with art. 46 of the commercial Code, in conjunction with art. 969 and art. 970 of the civil Code, and for this ground this claim shall be rejected as unjustified.
