Summary/Abstract: In legal doctrine and practice, the admissibility of attributing the liability set out in article 299 of the Polish Commercial Companies Code to a management board member of a partnership who is not also a partner raises significant doubts. This article analyses the issue in light of doctrinal positions and case law. The author adopts the view that the current doctrinal understanding of the nature of a partnership does not permit the application of liability under article 299 of the Polish Commercial Companies Code to a management board member who is not a partner.
