Summary/Abstract: The regulation of the functioning of corporate groups is a complicated issue, both in the legal systems of EU Member States and of those of non-EU countries. The law on groups of companies, introduced into the Polish legal order on the one hand includes instruments ensuring efficient management of a group of companies by the parent entity in order to implement a common economic strategy, and on the other hand, provides mechanisms to protect the rights of an individual (a subsidiary) by shaping the principles of civil liability for decisions taken in the best interest of the group. The subject of the article is to clarify the basic issues related to the operation of a group of companies, which include: the interest of the company and the interest of the group of companies, binding instructions and the rules of liability of the parent company for damage caused to the subsidiary. The article uses the formaldogmatic method.
