Summary/Abstract: The report analyzes and compares two types of transfer restriction clauses that may be included in the articles of association of a joint-stock company and that restrict the free transferability of registered shares– the right of first refusal and the right of first offer. It examines their legal characteristics and economic consequences, as well as their impact on the free transferability of registered shares. The report also examines the role of these clauses in maintaining the shareholder structure
