Summary/Abstract: The report is on the topic „Inheritance of a company share in Ltd. Legal position of the incapacitated heir.” At the beginning the report is about the legislative positions on the matter - where, how and to what extent the rules of inheritance of company shares are regulated. I draw attention to the necessity of convening and deciding the general meeting of partners upon and on the occasion of the death of a partner and the acceptance of the heirs as partners in the Ltd. Further on in the exposition, the issues that arise in practice in the event that the testator has only incapacitated heirs are also touched upon.
