Internal functioning of the joint stock company: from social will to legal will

Summary/Abstract: The joint-stock company is the most efficient form of company regulated under Romanian law, designed to meet the needs of large-scale enterprises. However, the joint-stock company cannot escape from its matrix, which is the legal person governed by the Romanian Civil Code. This is why the internal functioning of the joint stock company requires interaction between its organs. This paper aims to analyse the manifestations of will of all the organs of the joint-stock company from the terminological perspective of the Romanian Civil Code and the Law no. 31/1990 on companies.
