Summary/Abstract: This article provides a summary of the key provisions of the Sarbanes-Oxley Act of 2002. Signed into law by President Bush on 30 July 2002, the law is the most significant securities legislation since the 1930s when United States legislators addressed issues related to the stock market crash of 1929 and established the Securities & Exchange Commission (SEC) and reporting requirements for publicly traded companies, Sarbanes- Oxley has changed the regulatory landscape in the United States with implications for accounting worldwide. This article focuses on those key provisions that are directly related to accounting. These changes include the establishment of the Public Accounting Oversight Board (PCAGB), regulated changes of the auditing profession, and rules of conduct and accounting oversight within corporations. The SEC and the PCAOB are proceeding aggressively in the implementation of all the provisions of Sarbanes-Oxley. All this legislative action and oversight should compel corporate governance to improve as corporate boards and their audit committees become the agents of change in good governance.
