CORPORATE GOVERNANCE AND D&O INSURANCE

Summary/Abstract: The agreements which regulate D&O insurance for the damage caused in companies’ management mark an immense growth in the previous decades. From the point of view of insurance companies, it is only one more segment in the framework of the business offer, i.e. a new funding source. From the point of view of corporate governance, it is one of the instruments of corporate governance, which had different roles in different development phases. The author of the paper deals with the influence of these agreements on the system of corporate governance through the analysis of some of the positive effects, but still the stress is on the analysis of the insurance negative effects in the context of formation of obstacles for achieving the goals of corporate governance.
