REPRESENTATION IN INTERNATIONAL COMMERCIAL TRANSACTIONS

Summary/Abstract: The author emphasizes the legal significance of representation in international commercial transactions. He makes a point of devoting more attention to the representation of commercial factors from developing countries, as well as the representation of Yugoslav organizations of associated labour in developing countries. The author analyses the role of the state in international commercial law in general and the representation of the state in international commercial transactions. The state is one of the most significant commercial factors in almost all of the developing countries, therefore its representation is of particular significance for commercial transactions. In the essay, there is also a brief account of the other factors of international commercial law (associations-societies-, corporations etc.) from the aspect of their representation in transactions (business activities). It is also pointed to certain specific characteristics in the forms of these factors in dependence of the legal influence from the times of colonial subordination of a majority of developing countries (the Anglo-Saxon and Francophone influence). Special attention has been devoted to representation as an independent transaction in international commercial law. Indisputably, modem representative firms and the business activities they perform through-out the world contribute to the expansion of foreign trade. That is the reason why their significance and role have become so important in international trade. At the same time, simultaneously with the economic significance, the legal significance of commercial representation has also increased. Representation is legally regulated not only on the international level but also on the national level. Numerous are the general conditions for the business operation of the companies offering representation services which have been accepted in international trade, representing sources of the autonomous international commercial law. In the closing part of the essay, certain rules and regulations regarding the representation of foreign firms in Yugoslavia are analysed, and also Yugoslav organizations of associated labour abroad, particularly in developing countries.
