Summary/Abstract: The purpose of this study is to analyse the judgment of the Court of Appeal in Krakow concerning the nullity of the company agreement if one of the founders acted in a state excluding consciousness or free decision making and expression of will. Under Polish law, the legislator did not provide for the possibility to nullify the company agreement, but only under the circumstances specified by law, the possibility exists to dissolve the company.
