Rezumat: Drepturile de proprietate intelectuală reprezintă, în multe cazuri, active intangibile foarte valoroase pentru o societate. Asigurarea protecţiei juridice a acestora este importantă pentru valorificarea lor economică, dar şi pentru prevenirea oricăror acţiuni ale terţilor de natură să aducă atingere acestor drepturi. De asemenea, societatea însăşi trebuie să vegheze la respectarea drepturilor de proprietate intelectuală aparţinând altor persoane şi să se abţină de la orice acţiune de natură a prejudicia drepturile acestora. Strategia cu privire la drepturile de proprietate intelectuală într-o societate trebuie corelată cu nevoile specifice, în funcţie de obiectul de activitate, de strategia privind cercetarea – dezvoltarea (dacă este cazul), de modul de desfăşurare a activităţii comerciale (e.g. în mediul online sau offline, etc). Prin urmare, este utilă crearea unei planificări interne cu privire la drepturile de proprietate intelectuală, prin care sa se stabilească: a) în ce măsură societatea doreşte să investească în crearea şi exploatarea drepturilor de proprietate intelectuală sau doar în achiziţionarea acestora de la terţi (în proprietate sau prin obţinerea unui drept de utilizare, licenţă); b) este necesară realizarea unui inventar intern cu privire la drepturile de proprietate intelectuală (“DPI”) deţinute şi utilizate, respectiv: (i) DPI aflate în proprietate – în ce măsură acestea sunt utilizate de către societate? Au fost acordate licenţe către terţi şi în ce condiţii? (ii) DPI utilizate de societate, dar care nu se afla în proprietatea acesteia – în ce masură există drepturi de utilizare şi care este întinderea, respectiv limitele utilizării acestora din punct de vedere juridic? (iii) Care sunt costurile dezvoltării versus costurile achiziţionării DPI şi ce este mai avantajos din punct de vedere economic pentru societate? c) în toate cazurile, este necesară revizuirea contractelor având clauze de proprietate intelectuală pentru stabilirea drepturilor şi obligaţiilor societăţii, inclusiv (iar în unele cazuri, în special) clauzele din contractele de muncă. Prezentul articol îşi propune să prezinte câteva dintre aspectele juridice necesar a fi cunoscute şi luate în considerare în cadrul elaborării unei strategii comerciale pentru dezvoltarea, identificarea şi gestionarea protecţiei drepturilor de proprietate intelectuală existente într-o societate, dintr-o dublă perspectivă: atât în vederea valorificării acestora, cât şi în vederea asigurării protecţiei juridice faţă de terţi. Cuvinte Abstract: The intellectual property rights represent, in many cases, intangible assets which are very valuable to a company. Ensuring the legal protection of the intellectual property rights is important not only for their economic exploitation, but also for the prevention of any action from third parties which may affect these rights. Also, the company itself must ensure that intellectual property rights of others are observed by it and it should refrain from any action which may be likely to infringe such other parties’ rights. A company’s strategy in relation to intellectual property rights must be correlated with its specific needs according to its object of activity, to its strategy regarding the research and development (if the case), as well as to its operational business policy (e.g. in online or offline, etc.). Therefore, it is useful to create an internal planning regarding the intellectual property rights, establishing: a) if the company envisages to invest in creating and exploiting the intellectual property rights or if it envisages to acquire them from third parties (in property or by obtaining a licence); b) if it is necessary to make an internal inventory regarding the owned and used intellectual property rights („IP rights”), namely: (i) owned IP rights – are they used by the company? have licences have been granted to third parties and in which conditions? (ii) IP rights used by the company, but which are not in its property – if there are such rights of use and the conditions in which they can be used; (iii) the cost of development versus the costs of acquisition of IP rights and what would be the most suitable for the company from a cost effective perspective; c) in all cases, if it is necessary to review the contracts with intellectual property clauses in order to establish the rights and obligations of the company, including (in some cases, especially) the clauses from employment contracts. This article aims to present some of the legal aspects that need to be known and taken into account when establishing a commercial strategy for developing, identifying and managing the protection of the company’s intellectual property rights, from a double perspective: both for their exploitation, as well as for their legal protection towards third parties.

Directiva 2003/88/EC cuprinde anumite cerinţe privind organizarea timpului de lucru iar CJUE a dezvoltat aceste cerinţe până la punctul în care includerea unei perioade în timpul de lucru nu mai este condiţionată de intensitatea muncii dar nici măcar de prestarea efectivă a muncii. Includerea în timpul de lucru a perioadelor inactive în care angajatul se află la locul de muncă a determinat anumite probleme economice vizând costurile forţei de muncă. Ca răspuns la aceste probleme s-a manifestat de către angajatori fie tendinţa de flexibilizare a programului de lucru fie tendinţa de a găsi soluţii pentru creşterea intensităţii muncii şi reducerea perioadelor inactive la locul de muncă. Una dintre posibilităţi este sistemul de employee sharing care în esenţă presupune folosirea forţei de muncă a unui angajat de mai mulţi angajatori în funcţie de nevoile lor la un anumit moment. Articolul prezintă acest mod de organizare a muncii şi maniera de aplicare a acestuia în unele state membre UE şi posibilităţile oferite de legislaţia din România în lipsa unei reglementări exprese. Directive 2003/88/EC contains some requirements on the organization of working time and the CJEU has developed these requirements to the point where the inclusion of a period during working time is no longer conditioned by the intensity of work but not even by the actual performance of work. Inclusion during working hours of inactive periods in which the employee is at work has led to certain economic problems affecting labor costs. In response to these problems, employers either showed a tendency to flexible work schedules or to find solutions to increase work intensity and reduce inactive periods at work. One of the possibilities is the employee sharing system, which essentially involves using the work force of a employee by more employers according to their needs at a certain point in time. The article presents this way of organizing work and the way it is applied in some EU member states and the possibilities provided to this end by the Romanian legislation in the absence of express regulation.

Rezumat: Moneda electronică este născută ca o consecinţă directă a dezvoltării tehnologice, respectiv a comerţului electronic. Reglementările europene în domeniu au fost transpuse parţial în legislaţia românească, fapt care nu a fost de natură să încurajeze creşterea numărului emitenţilor de monedă electronică. Apariţia criptomonedelor şi, mai ales, larga răspândire şi multiplicarea emitenţilor acestora reprezintă argumente suplimentare pentru actualizarea şi completarea legislaţiei specifice monedelor emise pe suport informatic. Abstract: Electronic currency represents a direct consequence of technological development and e-commerce. European regulations in this matter have been partially transposed into Romanian legislation, which was not enough in order to increase the number of e-money issuers. The apparition of crypto-currencies and, especially, the wide spread and multiplication of crypto-currencies' issuers are more arguments to sustain the necessity to update the legislation on electronic currencies.

Rezumat: Acţiunile cu vot plural reprezintă clase de acţiuni privilegiate construite în jurul dreptului de vot. Acestea dau dreptul la mai multe voturi per acţiune, în timp ce acţiunile cu vot fracţionat dau dreptul la o fracţiune de vot per acţiune. Deşi Legea nr. 31/1990 privind societăţile nu reglementează acest tip de acţiuni, deci nu le permite, odată cu reglementarea lor generică în Legea nr. 24/2017 privind emitenţii de instrumente financiare şi operaţiuni de piaţă, legiuitorul pieţei de capital a deschis calea stabilirii oricâtor clase de acţiuni cu drept de vot plural, lăsând totală libertate actului constitutiv de a stabili caracteristicile de clasă. Acest lucru vine în contradicţie nu numai cu principiile dreptului societar, ci şi cu tendinţele moderne ale legislaţiilor importante ale lumii, care limitează drastic utilizarea acestor acţiuni, în special la societăţile listate. Istoric, scopul lor era şi este de a conserva controlul în mâinile fondatorilor, după listarea societăţii. Cum România nu are societăţi cu fondatori istorici şi nici societăţi de tip închis emitente de acţiuni cu vot plural (cu o singură şi regretabilă excepţie, ca urmare a unei erori de apreciere a instanţei noastre supreme), economia de piaţă repornind de la zero în 1990, reglementarea acţiunilor cu vot plural în legislaţia valorilor mobiliare apare ca inutilă şi este, cel mai probabil, rodul transpunerii fără adaptare a celei de-a Treia Directivă Societară privind fuziunile. Actul normativ european tratează, într-adevăr, acţiunile cu vot plural, dar în contextul lipsirii lor de efectele specifice în cazul unei preluări ostile a societăţii listate (regula breakthrough). Abstract: Dual class shares are preferred class stock constructed around the voting right. Such stock allows multiple voting per share, while stock with limited voting rights allow only a fraction of a vote per share. Although Companies Law no. 31/1990 does not regulate this type of stock, starting with their generic regulation in Law. No. 24/2017 regarding the issuers of financial instruments and market operations, the capital markets legislator opened the door for as many dual class stock, given charters total freedom to set their rights. This conflicts not only with the corporate law principles, but also the modern trends of the world jurisdictions, that severely limits such stock, especially for the listed companies. Historically, their purpose was and still is to preserve voting control in the hands of the founders, after listing the company. While Romania does not have historical founders, nor closed (private) companies that issued dual class stock (with one exception, resulted from an assessment error of our supreme court), since the market economy restarted from zero in 1990, regulating dual class stock in the securities legislation appears as futile, and represents, most probably, the result of the transposition, without adaptation, of the Third Companies Directive regarding mergers. The European Act treats, indeed, dual class stock, but in the context of depriving it of the specific effects in case of a hostile takeover of the listed company (Breakthrough Rule).

Rezumat: Sistemul fiscal al fiecărui stat îi asigură acesteia cea mai marea parte a resurselor bugetare şi, deci, independenţa şi dezvoltarea. Pe fondul schimbării tipurilor şi complexităţii tranzacţiilor financiare ca urmare a dorinţei investitorilor de a-şi creşte marja de profit, coroborat cu aplicarea de scheme de optimizare fiscala agresivă pentru îndeplinirea acestui scop mercantil, legislaţiile naţionale şi cea internaţională s-au văzut cu câţiva paşi în urma realităţii pieţei. Se înregistrează transferuri libere de profituri din jurisdicţiile unde ar fi normal sa fie impozitate în contextul unei respectări aparente a prevederilor legale. În acest sens, în climatul actualei globalizări, OECD a demarat în anul 2013 proiectul BEPS – Erodarea Bazei de Impunere şi Transferul Profitului pentru analizarea fenomenului care a condus la o dublă neimpozitare sau la o impozitare mult mai redusă a tranzacţiilor transfrontaliere. În anul 2015 a fost emis Planul de Acţiune ce conţine 15 acţiuni al căror scop este acela de a contracara planificarea fiscala agresivă, evaziunea şi evitarea plăţii impozitelor. Grupul de state G20 a susţinut acest proiect, iar primele măsuri de implementare au început în anul 2016 pentru statele implicate în proiect, membre OECD şi nu numai. Abstract: Each country’s fiscal system ensures its independency and major part of resources for development and well being of a nation. Due to continuing development of commercial transactions type, their complexity and increased apetite of involved parties investors for higher profit margins, corroborated with the specific tax aggressive optimization behaviours for ensuring such mercantile purposes, domestic tax legislation and international ones have proven to be few steps behind the reality of the market. Profits were being shifted out from jurisdictions were they were supposed to be taxed while, apparently legislation was complied with. Therefore the OECD has began in 2013 the BEPS – Base Errosion Profit Shifting project for analysing the facts that allowed lower or double no taxation on transactions between countries under the current globalisation of the world. In 2015 an Action Plan including 15 Actions was released targeting measures to counterattack the aggressive tax planning, tax evasion and tax avoidance on cross border transactions. G20 countries have endorsed the Plan while the first expected implementation started during 2016 for the involved countries, OECD members and not only.

Rezumat: Articolul prezintă pe scurt luările de poziţii ale doctrinei române în materia monismului dreptului privat pentru a argumenta lipsa de relevanţă reală a acestei dispute în contextul problemelor practice ridicate de noile dispoziţii normative în materia raporturilor dintre profesionişti. Oferind câteva argumente de ordin practic legate de utilitatea unei abordări unificatoare, autorul pledează pentru o mutare a accentului analizei pe chestiunile cu relevanţă practică directă. În final, este analizată decizia nr. 18/2016 pronunţată într-un recurs în interesul legii de către Înalta Curte de Casaţie şi Justiţie din perspectiva unui (posibil) răspuns care să pună capăt unor certuri inutile. Dacă acceptăm că (fostul) drept comercial este o parte importantă a (actualului) drept civil, putem să mutăm discuţiile în planul analizei reale a aspectelor inovatoare aduse de Noul Cod civil pe chestiuni punctuale, fără a mai încerca să „găsim” un drept comercial (autonom) „ascuns” în ţesătura dreptului civil. Abstract: This paper briefly addresses the various opinions of the Romanian authors on the introducing of a legislative unification of civil and commercial matters (the so-called „monist” approach) under the New Romanian Civil Code of 2011. This doctrinal landscape is used to argue on the lack of relevance of this (somethimes fierce) dispute when more important problems are raised by the new regulation. By offering certain practical arguments substantiating the usefulness of the unifying approach, the author pleads for the legal writings focusing rather on the matters having direct practical effects. In the end, it is analyzed the recent decision no. 18/2016 issued by the High Court of Cassation and Justice in a procedure meant to bring a general answer to all national courts. The analysis is structured in the view of showing that the abovementioned dispute became obsolete. If we accept that the (former) commercial law is an important and integral part of the (current) civil law, then we can focus on the innovative provisions of the New Civil Code having a real impact on practical even if punctual matters. There is no need to try finding an elusive autonomous commercial law „hidden” in the fabric of the civil law.

Rezumat: În cursul unui proces penal pot apărea situaţii când există un conflict de interese între reprezentantul persoanei juridice şi aceasta din urmă. Un astfel de caz este cel în care administratorul unei societăţi este trimis în judecată pentru săvârşirea infracţiunii de folosire abuzivă a bunurilor sau creditului societăţii în scop contrar intereselor acesteia. Pe parcursul procesului penal, societatea ar trebui să fie reprezentată de administrator, însă, deoarece conflictul de interese dintre aceştia este, sau ar trebui să fie evident, instanţa trebuie să numească un curator special care să reprezinte interesele persoanei juridice, în condiţiile art. 58 Cod de procedură civilă. Abstract: During a criminal trial, situations when there is a conflict of interests between a legal persons’ agent and itself may appear. An example is the situation when the company’s director is indicted for the crime of misuse of the corporate property. Despite the fact that the company (the corporate person) should be represented by the director during the criminal trial, given the obvious conflict of interests between them, the court must appoint a special trustee that would represent the company’s interests, according to art. 58 of Romanian Civil Procedure Code.

The transformation of the lawsuit as a dispositive litigation right of the plaintiff, although it is an exception to the rule that a litigation process ends over the lawsuit that has been initiated upon, is very often present in litigation. Given that this is a legal institute that appears after the filing of a lawsuit, during the process of litigation, the manner of regulating the ways of modifying a lawsuit consequently significantly affects the overall legal position of litigants during litigation. In order to achieve full equality of litigants during litigation, this thesis has scientifically explored the legal position of litigants regarding to the objective amendment of the lawsuit during the preparatory hearing, with a special emphasis on the analysis of degree of unconditionality of the plaintiff’s right to change the lawsuit, the right and possibility of defendant to oppose to such changes, then the role of the court regarding the admissibility of the amendment of the lawsuit, and finally the right of the respondent to take sufficient time to acquaint himself with the content of the amended lawsuit as well as the grounds for such amended claim.

In this article, the author proposed to examine the procedure for the enforcement of judgements issued in disputes concerning public procurement contracts.Thus, by virtue of the provisions of Law no. 554/2004 and Law no. 101/2016, both recently modified by Law no. 212/2018, the author has submitted the enforcement of those judgments in the following assumptions: enforcement of judgments handed down by administrative courts in disputes occuring in the preceding stages of the public procurement contracts; enforcement of judgments handed down by administrative courts in disputes related to public procurement contracts and enforcement of judgments issued by civil courts in disputes arising form the execution pf public procurement contracts.
